Membership Terms & Conditions:
Membership in the Coalition shall consist of Founding Members, General Members, Affiliate Members and Government Entities.
Terms and Conditions. The following shall apply:

Membership in the Coalition is exclusive and non-transferable.

The Coalition, acting through the Board of Directors, may change the membership terms and conditions at any time, without notice to members.

If any change is found void or unenforceable, that change is severable and does not affect the validity of the remaining terms.

Membership of any type constitutes acceptance of any changes to these Terms and Conditions.

Any member that does not agree to such changes may cancel membership or have their membership terminated.

To seek membership, interested parties are required to complete an application.
Founding Members.

Memberships at this level are by invitation only.

Founding Members shall consist of any individual, or commercial or industrial enterprise (corporation, company, partnership, limited liability company, financial institution, proprietorship or individual), or school, college, university or not-for-profit organization, with a demonstrated role in Esports or gambling industries.

Founding Members may provide services to the Coalition, including, but not limited to industry expertise, research, academic studies, or other organizational value as determined by the Board of Directors in compliance with the Internal Revenue Code.

Membership at this level requires an annual payment of $5,000. The Board of Directors may reduce the cost of the annual membership for Founding Members based upon services highlighted above.

Membership includes logo display in Coalition marketing, public relations and press materials, including prominent display on the Coalition website; and, complimentary access to Coalition-sponsored events for up to three (3) representatives.
General Members.

General Members are accepted upon application and majority approval of the Board of Directors.

Any individual, or commercial or industrial enterprise (corporation, company, partnership, limited liability company, financial institution, proprietorship or individual), or school, college, university or not-for-profit organization, with a demonstrated role in Esports or gambling industries that is not a Founding Member, shall only be eligible to join the Coalition as General Members.

Membership at this level requires an annual payment of $5,000.

Membership includes logo display in Coalition marketing, public relations and press materials, including prominent display on the Coalition website; and, complimentary access to Coalition-sponsored events for up to three (3) representatives.
Affiliate Members.

Affiliate Members are accepted upon application and majority approval of the Board of Directors.

Affiliate Members consist of any individual, or commercial or industrial enterprise (corporation, company, partnership, limited liability company, financial institution, proprietorship or individual), or school, college, university or not-for-profit organization, with an interest in Esports or gambling industries.

Membership at this level requires an annual payment of $2,000.

Membership includes a logo display on the Coalition website; and, complimentary access to Coalition-sponsored events for one (1) representative.

Affiliate Members may apply to be General Members commensurate with a commitment to pay General Member annual payments.
Governmental Entities.

Governmental or regulatory entities may be represented in the Coalition, and are accepted upon application and majority approval of the Board of Directors.

Memberships at this level are limited to legislators; federal, state, or local government officials; legislative or executive employees of the Commonwealth; and, Commonwealth agencies, departments or divisions that are involved in gaming regulation.

Membership for Governmental Entities may require an annual payment.
Designation of Representatives by Entity Members.

In the event a member is not an individual, the member shall designate in writing to the Coalition the name of the individual representing the member in all matters relating to the Coalition, which person shall continue to serve as the member’s representative until the earlier to occur of (i) the member’s termination, withdrawal, or resignation, and (ii) the member designates a successor representative in writing to the Coalition.

Membership applications may be submitted by any individual or entity from any jurisdiction globally; membership is not exclusive to the Commonwealth of Pennsylvania.

Incomplete applications may be rejected and may require re-submission.

A Member’s liability for annual payment shall commence on the first day of the month that is most coincident with approval of the application, and annually on that date thereafter.

Membership fees must be paid within thirty (30) days of notice of membership acceptance.

Membership may be rejected or terminated by the Board of Directors at its discretion and for any reason.

No Member shall have the benefits outlined in this article until Membership fees have been received.
Termination. Any membership may be terminated:

By a vote of the majority of the Board of Directors, for conduct determined at the sole discretion of the Board of Directors to be prejudicial to the welfare of the Coalition or its Members.

By the Executive Director, for failure to pay the annual payment required under this Article.
Resignation. Any Member may resign at any time. The resignation shall take effect at the specified time, or if no time is specified, at the time of notice to the Coalition. A resigning Member shall not be entitled to a refund of any portion of Membership dues.
Governance and Voting Rights. The following shall apply:

The affairs and governance of the Coalition, except as provided in the Coalition Bylaws and the Articles of Incorporation, shall be the sole responsibility of the Board of Directors.

Founding Members and General Members, as herein defined and described in the Coalition Bylaws, and in good standing, shall be entitled to vote for the election of Directors to the Board of Directors, as provided in the Coalition Bylaws and the Articles of Incorporation. Affiliate Members and Governmental Entities shall have no right to vote for Directors.
Membership Expiration, Renewals, and Cancellation. The following shall apply:

Memberships are effective for one-year terms beginning the date payment is confirmed as received by the Coalition.

Continuing memberships may be renewed no earlier than two months prior to expiration of the one-year membership period; membership will be considered renewed upon receipt of Membership fees.

Expired memberships may be renewed at any time during the calendar year upon payment of the full annual membership fees for the selected membership type.

Members may cancel membership at any time upon notice to the Coalition.

Payment for membership is not refundable if membership is cancelled or terminated.
